Terms of Service

Effective April 20, 2026

These Terms of Service (the “Terms”) govern your use of Veritas (the “Service”), operated by Optivus Corporation Private Limited (“we”, “us”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Who can use Veritas

You must be at least 18 years old and have the authority to bind your organization to these Terms. Veritas is a business product; individual consumer use is not its intended purpose. You agree to provide accurate registration information and keep it up to date.

2. Your account and organization

When you sign up, Veritas provisions an organization (tenant) keyed to your Clerk organization ID. All content, documents, and data generated within that organization are isolated from other tenants.

Administrators can invite other members, assign roles (Admin, Product Manager, Member, Internal Learning), and manage billing. You are responsible for the actions of members you invite and for keeping credentials secure.

3. Acceptable use

You agree not to use the Service to:

  • Violate any law or third-party right (including intellectual property, privacy, publicity).
  • Upload content that is unlawful, defamatory, hateful, harassing, or infringing.
  • Attempt to reverse engineer, decompile, or extract the source code or models we use.
  • Circumvent rate limits, usage budgets, or access controls.
  • Use the Service to train a competing AI system or product.
  • Upload malware, exploit vulnerabilities, or interfere with other customers’ use of the Service.
  • Scrape, crawl, or bulk-download content from Veritas other than your own.
  • Impersonate another person or entity.

We may suspend or terminate accounts that violate these rules, with or without notice depending on severity.

4. Your content and intellectual property

4.1 You own your content

You retain all rights to content you upload, submit, or generate through the Service (“Customer Content”). This includes documents, brand assets, prompts, chat inputs, and AI-generated outputs produced from your inputs.

4.2 License you grant us

To operate the Service, you grant Optivus Corporation Private Limited a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, and process Customer Content as necessary to provide the Service to you. This license ends when you delete the content or close your account (subject to retention periods described in our Privacy Policy).

4.3 Our intellectual property

The Service itself, including its code, design, trademarks, and underlying technology, remains the property of Optivus Corporation Private Limited. These Terms do not grant you any right to our trademarks or branding.

5. AI-generated content disclaimer

Veritas uses large language models (OpenAI) to generate text, extract information, and assist with learning content. Because these models are probabilistic, AI-generated output may be inaccurate, incomplete, or inconsistent. You are responsible for reviewing AI-generated content before using it externally.

We make no warranty that AI outputs are fit for any particular purpose. Do not rely on AI output for legal, medical, financial, or other professional advice.

6. Subscriptions, billing, and taxes

  • Billing cycle. Subscriptions are billed monthly in advance at the applicable per-seat rate. Seat charges are prorated for mid-cycle additions, removals, and role changes.
  • Payment. Payments are processed by Razorpay. Invoices are issued on your billing day.
  • Past-due accounts. If an invoice is not paid by its due date, we apply a 14-day grace period during which we will send reminders. After the grace period, non-admin users lose access until the balance is paid. Admins retain access to the billing pages to resolve the issue.
  • Taxes. Fees are exclusive of applicable taxes (GST, VAT), which will be added where required.
  • Refunds. Fees are non-refundable except where required by law.
  • Price changes. We may change pricing with at least 30 days’ notice; changes apply from your next billing cycle.

7. Termination

You may cancel your subscription at any time from the billing page. Your organization’s access continues until the end of the paid period. You can also delete your account or organization at any time, which triggers data deletion per our retention policy.

We may terminate or suspend your access if you materially breach these Terms, if required by law, or if we discontinue the Service. We will give reasonable notice except where immediate action is warranted (security, legal compliance, or acceptable-use violations).

8. Disclaimers

The Service is provided “as is” and “as available”, without warranties of any kind, express or implied, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or that AI outputs will be accurate.

We are not responsible for third-party services (OpenAI, Clerk, AWS, Razorpay, etc.) beyond choosing reputable providers and using them correctly.

9. Limitation of liability

To the maximum extent permitted by law, Optivus Corporation Private Limited and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill.

Our total aggregate liability arising out of or relating to the Service will not exceed the amount you paid to us in the 12 months preceding the claim, or ₹10,000 INR (whichever is greater).

10. Indemnification

You agree to indemnify and hold harmless Optivus Corporation Private Limited from any claim, loss, or expense (including reasonable legal fees) arising out of your Customer Content, your breach of these Terms, or your violation of applicable law.

11. Governing law and jurisdiction

These Terms are governed by the laws of India. Any dispute will be subject to the exclusive jurisdiction of the courts of New Delhi, India, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced to account administrators by email at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance.
